To further our common goal of fostering transparency, GLG may disclose your Council Membership and background to authorized persons from your current employer, if your employer requests that information.  GLG may also disclose your Council Membership and background at the request of other third parties, including but not limited to your former employer(s) and companies that you have provided services to or contracted with.  Employers or such third parties may request that guidelines be placed on your participation in outside business activities, including consulting, arising from duties you may owe to them.  You will be notified of any such requested guidelines.  GLG will abide by guidelines requested by an employer for its current employees, so long as that request is made by an authorized company representative, and you agree that GLG shall have the right to comply with any guidelines requested by a third party.  You agree that GLG may discuss your participation or proposed participation in a GLG project with third parties for the purpose of confirming any consents or approvals that may be required.  You further agree that GLG may disclose information about you to third parties that may wish to use your services.
Non-Disclosure of GLG and Client Information

While you are a Council Member of Gerson Lehrman Group and thereafter, you agree not to disclose to any Third Party (as defined below) or to attempt to use or personally benefit from any Protected Information (as defined below) that is disclosed to or known by you by your participation in the GLG Councils.  This obligation shall continue until such time as the Protected Information has become publicly available through no action of your own, except to the extent required by law.  "Protected Information" shall include for purposes of this Non-Disclosure section: (i) the contents or existence of any Project or proposed Project, including without limitation the name of the Client entity or employee; (ii) information about actual or potential business, investment or trading decisions or transactions of any Client; (iii) any other confidential information of Gerson Lehrman Group or its Clients, and (iv) any intellectual property, including without limitation any trade secrets, know-how, or copyrighted information, of the Client or of Gerson Lehrman Group.  "Third Party" shall mean for purposes of this section any entity, organization or person other than the party who disclosed the Protected Information to you.  If you are compelled by order of a court or other governmental or legal body (or have notice that such an order is being sought) to divulge any Protected Information to anyone other than GLG, you will promptly and diligently notify GLG and will cooperate fully with GLG in protecting such information to the extent possible under applicable law. 

MECHANICS OF PROJECTS

Expectations of Service.  The scope of a proposed Project will be outlined in an invitation to you from GLG.  You should not perform, and you will not be compensated for, preparatory research, follow up work or research, work outside the scope of the Project as described in the invitation, or in-depth Projects without our prior written authorization.  Clients cannot authorize such additional work.  Unless otherwise agreed in writing by Gerson Lehrman Group or as otherwise stated in any Project invitation, you will only be compensated for the time you spend interacting with Clients and you will not be compensated for wait time or time set aside if a consultation with a Client does not occur. 

Access Rights.  Your username and password are for your or even offensiindividual use only. You may not share your account information with others other than your direct assistants and only if they agree to be bound by the confidentiality provisions above. Your accounts are authorized on an individual basis for individual use, unless specified otherwise by specific contract between Gerson Lehrman Group and the Council Member. You must not use your relationship with Gerson Lehrman Group to promote, conduct or solicit the performance of any business or activity.
